By purchasing, engaging, or using our products or services, or where expressly indicated when registering for a program, event, or platform, you agree to these Terms and Conditions.

Simply accessing certain public pages of the website does not necessarily result in a paid contract with PTC or ONCKY GmbH.
The processing of your personal data is described in our Privacy Policy and Cookie Policy.
Use of the website or acceptance of these Terms does not, by itself, constitute consent to cookies, tracking technologies, personalized advertising, or marketing communications where such consent is legally required.

- commitment
- execution
- resources

Accordingly, unless a specific guarantee is expressly provided in writing for a particular product, we do not guarantee specific financial, commercial, professional, or personal results.

Applicable prices are those displayed on the relevant sales page, checkout, proposal, or contract at the time of purchase.
Prices may be stated in CHF, EUR, USD, or other currencies.
Unless otherwise indicated, applicable taxes will be determined according to the law and nature of the relevant transaction.
We may change future prices at any time. A price change will not apply retroactively to a completed purchase unless a specific agreement expressly provides otherwise.

- comply with the applicable payment conditions
Complete credit or debit card information is normally processed directly by payment providers and is not stored by us.

A payment commitment associated with a purchase does not automatically end simply because you stop using the product or service, except where a statutory right of cancellation, withdrawal, refund, or an applicable contractual provision provides otherwise.
9. Billing
Depending on the product or service, invoices may be issued by ONCKY GmbH or another entity expressly identified before or during the contracting process.
The customer is responsible for providing accurate billing information.

Where mandatory consumer protection law provides a right of withdrawal, cancellation, or refund that cannot lawfully be excluded by contract, that right will remain applicable.
Digital Content and Immediate Performance
Where legally applicable, certain digital content or services may begin immediately after purchase.
If applicable law requires your express consent to begin performance during a statutory withdrawal period or for you to lose a withdrawal right, we will request the relevant declarations before beginning performance.
Events and Services on a Specific Date
Certain events, workshops, reservations, or services linked to a specific date may be subject to special cancellation rules under applicable law and the specific conditions communicated during the purchase process.

Where necessary for operational, technical, organizational, or force majeure reasons, provided that such changes do not unjustifiably and materially alter the nature of the service purchased.
If a material change significantly affects the purchased service, we will inform affected participants and provide the remedies appropriate under the circumstances and applicable law.
12. Cancellation of Events by Us
We may cancel or postpone an event, program, or session for justified reasons, including:

Some services may require an account or personal access credentials.
You are responsible for:
- keeping your credentials confidential

- train artificial intelligence models
- build datasets
- create derivative models

Certain events, sessions, or programs may be recorded.

Where an individual's image, voice, name, or testimonial is used in a manner requiring consent, we will obtain such consent where applicable.

- CRM
- communities
- storage
- advertising

We do not fully control the availability or operation of third-party services.
Where an interruption involving an external provider affects our services, we will make reasonable efforts to restore the service or provide an alternative where appropriate.
The processing of personal data in connection with these platforms is described in our Privacy Policy and Cookie Policy.

We do not guarantee that ptorrescobas.com or all of its digital services will be continuously available without interruption.
We may temporarily suspend parts of the website due to:
- maintenance
- updates
- security
- technical problems

- circumstances outside our reasonable control
We will seek to minimize interruptions where reasonably possible.
21. External Links
Our content may include links to external websites, platforms, or resources.
We are not responsible for the content, availability, security, terms, or practices of independent third parties.
The inclusion of a link does not necessarily imply endorsement, association, or guarantee of the third party.
22. Liability
We are liable for damages to the extent required by applicable law.
To the maximum extent permitted by law, we will not be liable for indirect or consequential losses arising from:
- business or personal decisions made on the basis of educational content
- expectations regarding results that were not guaranteed
- improper use of materials
- interruptions caused by third-party providers
- circumstances outside our reasonable control
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by mandatory law, including liability that cannot legally be excluded for intentional misconduct, gross negligence, or other legally protected circumstances.
23. Liability for Unlawful Use
To the extent permitted by applicable law, a person who uses our services or content unlawfully or in material breach of these Terms will be responsible for damages directly caused by such conduct.
This provision does not limit mandatory consumer rights or impose liability beyond what is legally permitted.
24. Privacy and Cookies
The processing of personal data is governed by our Privacy Policy.
The use of cookies and similar technologies is described in our Cookie Policy.
Where applicable law requires consent for a particular activity, such consent will be requested separately.
Acceptance of these Terms does not constitute acceptance of non-essential cookies, personalized advertising, tracking, or direct marketing.

25. Electronic Communications
When you register for or purchase a service, you agree to receive operational communications necessary to administer that service, for example:
- confirmations
- access information
- schedule changes
- invoices
- administrative notices
- communications relating to the service purchased
Commercial or promotional communications are managed separately where applicable law requires consent or another legal basis.

We may suspend or terminate access to certain services in the event of:
- material breach of these Terms
- non-payment
- fraud
- abuse
- intellectual property infringement
- risk to our systems
- serious misconduct toward other participants
Where reasonably possible and appropriate, we will provide prior notice and an opportunity to remedy the breach.
Termination does not affect rights or obligations that by their nature should survive, including outstanding payment obligations and intellectual property rights.

28. Governing Law
These Terms and the corresponding contractual relationships are, in principle, governed by the laws of Switzerland, excluding its conflict-of-law rules to the extent permitted.
Consumers
If you are a consumer residing in a country or territory whose laws provide mandatory protections that cannot lawfully be excluded through the choice of Swiss law, those protections remain applicable to the extent required by law.
Nothing in these Terms is intended to deprive you of mandatory rights available to you as a consumer.
29. Jurisdiction
To the extent permitted by applicable law, the competent courts of Basel-Stadt, Switzerland, shall have jurisdiction over disputes arising from these Terms or the corresponding services.
This choice of jurisdiction does not limit a consumer's right to bring proceedings before other courts where mandatory applicable law grants that right.
Before commencing legal proceedings, we encourage the parties to attempt in good faith to resolve any dispute through direct communication.
30. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
Where possible, the affected provision will be interpreted or replaced in a manner that reasonably reflects its original purpose within legal limits.
31. No Waiver
Our failure to immediately exercise a right under these Terms does not constitute a waiver of that right.
32. Assignment
Users may not assign their rights or obligations relating to a personal service without authorization where the nature of the service or contract prevents such assignment.
PTC or ONCKY GmbH may transfer a contractual relationship as part of a corporate reorganization, succession, business transfer, or equivalent structure, subject to the customer's applicable legal rights.
33. Changes to These Terms
We may update these Terms to reflect changes in:
- law
- regulation
- technology
- our business
- our products or services
New Terms will apply from the stated effective date to new purchases and subsequent use.
We will not retroactively and unilaterally modify essential rights relating to an existing purchase where such modification is not permitted by applicable law.
Where a material change affects an ongoing relationship and notice or acceptance is required, we will take the appropriate measures.
34. Entire Agreement
These Terms, together with the specific conditions applicable to the relevant purchase, proposal, program, or contract, constitute the contractual framework applicable to that relationship.
The Privacy Policy and Cookie Policy separately govern and explain the processing of personal data and tracking technologies and do not, by themselves, turn an activity requiring consent into a consented activity merely through acceptance of these Terms.
